Contract prolongation.

GKI has the right, with 3 months written notice, to extend the contract for 12 months, up to 2 times.

Confidentiality.

The tenderer and the tenderer´s personnel are obligated to treat all information about GKI and the delivery as confidential, also after the contractual relationship has ended.

The tenderer shall not announce that they have signed this contract or use the contracting authority as a reference, without the contracting authority´s consent. Approval cannot be refused without a justifiable reason. Breach of this term will be seen as a significant breach of contract.

Control on compliance with wage and working conditions.

GKI shall carry out necessary control on compliance with wage and working conditions. The degree of control can be adapted to the requirement in the branch in question, geographical areas etc. This is in accordance with the wage and working conditions regulations for public contracts § 7.

Non Disclosure.

Information that the parties become familiar with in connection with the agreement and the implementation of the agreement shall be treated as confidential, and not be made available to anyone else without the consent of the other party. If the Customer is a public organisation, the confidentiality according to this provision will not be more comprehensive than that provided by the Act dated 10 February 1967 about procedures in administrative matters (Administration Act) or equivalent sector specific regulation. Confidentiality does not, according to this provision, prevent the delivery of information required to be presented according to the law or regulation, including public and right of inspection pursuant to the Act dated 19.5.2006 on the right to inspect documents in public entities (the Freedom of Information Act). If possible, the other party should be notified prior to such information being provided. The Confidentiality agreement does not prevent information being used when there is no legitimate reason requiring it be kept secret, for example, when it is generally known or generally available other places. The parties shall take all necessary precautions to prevent unauthorised persons from gaining access to, or knowledge of the confidential information. The confidentiality agreement applies to the parties' employees, sub-contractors and third parties who act on behalf of he parties in connection with the execution of the agreement. The parties can only transfer confidential information to such sub-contractors and third parties to the extent this is necessary in the execution of the agreement. The confidentiality agreement does not prevent parties utilising experience and competence gained in connection with the execution of the agreement. The confidentiality agreement also applies after the agreement ceases. Employees or others who resign their positions (withdraw their services) at one of the parties shall also be subject to the confidentiality agreement even after they have left as mentioned above. The client confidentiality expires five (5) years after the delivery date, unless otherwise stated in the law or regulations.
